These terms are the agreement between SEO AZ ("we", "us") and the business that signs up for it ("you"). By creating an account, or by continuing to use SEO AZ after these terms change, you agree to them. They are written in plain language on purpose; if a court ever has to read them, the plain meaning is the intended one.

The short version. You pay a flat price per day. We keep your Google listing in shape, ask your customers for reviews, answer reviews, run your public page and send messages in your name — but only to people you have the right to contact. We never promise rankings, star counts or a number of new customers. Payments go through Stripe: we never see or hold your card, and we never ask for or keep ID documents, bank details or anything else sensitive. Your data stays yours. You can leave any time; we can pause your account if it is used to spam people. Our responsibility to you is capped at what you paid us in the last three months.

1. What SEO AZ is

SEO AZ is a service that does routine marketing work for small businesses: keeping a Google Business Profile and other listings accurate, requesting and replying to customer reviews, hosting a public page for your business at seoaz.ca, sending text and email messages to your customers on your behalf, answering customer enquiries by text and (as an add-on) by phone, and reporting on the results. Which of these you get depends on the plan you choose; the current plans and prices are shown on the pricing page and in your account, and those are the ones that apply.

SEO AZ is not an advertising platform, a guarantee of business, or a substitute for running your business well. Google, Apple, Facebook and the other platforms we work with set their own rules, change them without notice, and decide for themselves what to show. We work within their rules; we do not control them.

2. Your account

You must be at least 18 and authorised to act for the business you sign up. Keep your login private; anything done through your account is treated as done by you. Tell us at once at [email protected] if you think someone else has used it. One account is for one business location; add more locations as separate businesses.

3. Price, trial, billing, cancellation

Every plan is a flat price per day, shown as a daily price and billed monthly in Canadian dollars. Your first 30 days are free; you will not be charged until the trial ends, and you can cancel during the trial without paying anything. After the trial we charge the month ahead on the same day each month through our payment provider (Stripe). We never see or store your card number.

Messages beyond what your plan includes, and the phone-answering add-on, are charged as shown in your account at the time you use them. Prices can change; we will tell you by email at least 30 days before a change applies to you, and you can cancel before it does.

You can cancel any time from your account or by emailing us. Cancellation takes effect at the end of the period you have already paid for; we do not refund partial months, but we also do not charge again. If a payment fails we will try again and email you; after 14 days of non-payment we may pause sending and after 30 days we may close the account.

4. Messages sent in your name — your responsibilities

When SEO AZ texts or emails your customers, it does so in your name and on your instructions. Canada's Anti-Spam Legislation (CASL) and similar laws apply to those messages, and you are responsible for having the right to send them. That means:

You only add customers to SEO AZ who are actually your customers or who have asked to hear from you. You do not upload lists you bought, scraped or borrowed. You keep whatever record you have of how each customer agreed to be contacted. You use messages for your business only, never for anything illegal, deceptive or offensive. You accept that every message carries your business name and address and a way to opt out, that opt-outs are honoured immediately and permanently, and that we will refuse to send when our system finds no lawful basis, when the customer has opted out, or during quiet hours.

If we receive complaints, a carrier blocks your traffic, or we believe messages are being sent without a lawful basis, we may pause sending for your account while we look into it, and we may close the account if the problem is not fixed. You are responsible for any fines or claims that arise from messages you instructed us to send to people you had no right to contact.

5. Reviews, replies and content

Review requests go only to customers after a real visit, job or purchase you record in SEO AZ, and never offer anything in exchange for a review. Replies to reviews and posts on your profile are drafted for you and published in your name; you choose in Settings which are posted automatically and which wait for your approval, and you can edit or delete any of them. You are responsible for what is published in your name, including anything you approve without reading. We will not post replies that are abusive, defamatory or that reveal a customer's private details, and we will not create fake reviews or reviews from people who were not customers.

Photos, text, prices and other content you put on your public page or your Google profile must be yours to use and must be accurate. You give us permission to display and reformat that content to run the service. You keep all rights to it.

6. The phone-answering add-on

If you turn on the phone add-on, calls to the number we provide are answered by an automated assistant in your name. It can take messages, answer questions from the information you give it, and book or request appointments; it is not a person and may make mistakes. Questions it cannot answer are passed to you as a message, and you remain responsible for following up. Calls are recorded and transcribed so you can read them; you are responsible for any notice to callers your province requires. Voice minutes and the setup fee are charged as shown in your account.

7. Your data

We hold as little as possible. We never see or store your credit card — Stripe collects and keeps payment details under its own security — and we never ask for or keep identity documents, banking details, business licences or other sensitive papers. What we hold is your business details, your customer list and the messages sent through the service. The same goes for your customers' money: if you use SEO AZ to send quotes or invoices, your customers pay through your own Stripe account, straight to you. We never hold their money or their card details either, and we take no commission on it.

Your customer list, your messages, your reviews and your content belong to you. We use them only to run the service for you, as described in our Privacy Policy. You can export your customer list at any time and delete your account, after which we keep only what the law requires us to keep (for example, records of consent and of messages sent, for CASL). We do not sell data and we do not use one business's customers to market another.

8. Your Google and other connected accounts

You connect your own Google Business Profile and any other accounts and can disconnect them at any time. You confirm you are the owner or an authorised manager of any profile you connect. We only act on a profile within the permissions you grant, and our use of Google data follows Google's API policies. If a platform suspends a profile, changes its rules or removes a feature, we will help where we can, but we are not responsible for the platform's decisions.

9. What we promise, and what we don't

We will provide the service with reasonable care and skill, keep it available except for maintenance and events outside our control, protect your data as described in the Privacy Policy, and tell you promptly if something goes seriously wrong. Beyond that the service is provided as it is. We do not promise any ranking on Google or anywhere else, any number of reviews, stars, calls, bookings or customers, or that any particular message will be delivered, since delivery depends on carriers and platforms we do not control. Results vary by business, area and effort; anyone who guarantees you a Google ranking is not telling the truth.

10. Limit of our responsibility

If something goes wrong and it is our fault, our total responsibility to you for everything arising in any twelve months is limited to the amount you paid us in the three months before the problem. We are not responsible for lost profits, lost customers, lost data you could have backed up, or indirect losses, even if we were told they were possible. Nothing in these terms limits responsibility that the law does not allow us to limit, such as for fraud.

You agree to cover us for claims made against us because of content you supplied, messages you instructed us to send without a lawful basis, or your breach of these terms.

11. Suspension and ending the agreement

You can end it at any time by cancelling (section 3). We can pause or end your account if you break these terms, if your account is used to send unlawful or abusive messages, if payment is more than 30 days late, or if we stop offering the service (in which case we will give at least 60 days' notice and refund any period you have paid for and will not receive). When the account ends you can still export your data for 30 days.

12. Changes

We may update these terms as the service grows. We will post the new version here with a new date and, for changes that matter to you, email you at least 30 days before they apply. If you do not agree, cancel before that date; using SEO AZ after it means you accept the change.

13. Law and disputes

These terms are governed by the laws of British Columbia and of Canada. If there is a dispute, we both agree to try to sort it out by talking first: email [email protected] and we will reply within five business days. Anything that cannot be settled that way goes to the courts of British Columbia. If any part of these terms is found unenforceable, the rest still applies.
